Terms of Use
Contract for use of Alocis, LLC payment-infrastructure software. By using the service, you accept these conditions and Annex A (data processing).
Effective: October 27, 2026.
1. Acceptance
These Terms of Use (“Terms”) are a contract between you and Alocis, LLC, a Delaware limited liability company at 8 The Green, Suite R, Dover, Delaware 19901, United States (“Alocis”). They govern alocis.com, app.alocis.com, APIs, and other digital services we designate (the “Service”).
By creating an account, opening the dashboard, calling the API, or using the Service, you accept these Terms, the Privacy Policy, and Annex A (Data Processing) below, which is part of this contract. When signup is completed, including through a third-party login, that acceptance is recorded with the identity provider. If you use the Service for a company, you represent that you can bind it, and “you” includes that company. If you do not agree, do not use the Service.
2. What Alocis is
Alocis is software infrastructure for digital payments. We are not a bank, payment institution, acquirer, issuer, custodian, or fiduciary of third-party funds. We do not receive, hold, or settle your buyers’ funds. Settlement happens at the payment provider you contract, using credentials you enter. You are the seller toward the buyer and the contracting party toward the provider.
3. Eligibility and account
You must have legal capacity and use the Service only for lawful activity. You must provide accurate information, keep credentials confidential, and promptly notify us of unauthorized use. You are responsible for everything that happens on the account, including acts of people you invite. We may refuse, suspend, or close registrations.
4. License and intellectual property
We grant a limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms. The software, marks, text, layout, documentation, and other Alocis materials remain ours or our licensors’. You may not copy, modify, reverse engineer, resell, sublicense, or exploit the Service beyond the contracted use, except where mandatory law allows it. Feedback you send may be used by us without payment.
You keep ownership of content you upload (offers, text, images, customer data). You grant Alocis a worldwide license to host, reproduce, and process that content solely to provide and protect the Service.
5. Payments, refunds, and chargebacks
This section is Alocis’s refund policy. It allocates roles among Alocis, the Customer, and the Buyer. It does not replace the commercial policy you publish to your buyers or the contract of each payment provider.
Platform fees
Alocis charges for software licensing and infrastructure, under the plan you select. Amounts, if any, are those shown in the dashboard or in a separate order. Unless a written agreement says otherwise, setup fees and periods already used are non-refundable. A free trial, when offered, ends without a charge if cancelled before it ends. Late or missing payment may lead to suspension. A service interruption does not automatically refund Alocis fees or processed transactions, except under a written service-level agreement. Any service credit is at Alocis’s commercial discretion.
To request a refund of the platform subscription, email [email protected] with the account identification and the reason. Review may take up to 30 business days, and we may ask for additional documents.
Sales to buyers
You set price, offer, taxes, delivery, warranty, returns, and timelines toward buyers. Alocis is not a party to the sale and does not decide the merits of a refund for a digital or physical product. The buyer portal may let a buyer request a refund. The request does not reverse funds by itself: you review it and, if you approve, start the reversal at the payment provider or outside the platform. A rejected or abandoned request creates no obligation for Alocis.
The financial reversal is processed by the provider you contracted, under card-network, acquirer, and provider rules, including full or partial reversal, timelines, methods that do not allow reversal, and asynchronous processing. When you use the function in the dashboard, Alocis transmits the instruction. We do not guarantee when the amount appears for the buyer. A failure, refusal, or chargeback sits among you, the provider, and the buyer.
A change of item, billing day, or subscription cancellation follows your product rules. There is no automatic pro-rata refund unless your own published policy or a feature you configured says so. The platform does not grant the buyer a financial credit on its own.
Chargebacks
Chargebacks follow card networks and the payment provider. You are responsible for evidence, deadlines, and fees. Alocis may supply the transaction records available in the dashboard and does not represent you before an issuer or a network. Consumer rights that the buyer’s law does not allow to be waived run against you, as the seller of the product. This policy limits what may be expected of Alocis as a technology provider.
6. Acceptable use
You will not:
- break the law, third-party rights, or these Terms;
- sell anything illegal, fraudulent, deceptive, or infringing;
- distribute malware, interfere with the Service, bypass technical limits, or access other customers’ data;
- use the Service for money laundering, illicit finance, exploitation of minors, or sexual content involving minors;
- collect buyer data beyond what the sale needs and without a lawful basis;
- resell the Service as if you were a payment institution or claim that Alocis guarantees settlement.
We may investigate and suspend access on suspicion of a violation, without prior notice when the risk is immediate.
7. Integrations
The Service may connect to identity, email, payment providers, member areas, cloud, queues, pixels, and other tools. Any list in documentation, on the site, or in the Privacy Policy is illustrative. Because implementation moves quickly, new platforms may be included before they are named. You choose what to enable, review each third party’s terms, and are responsible for configuration, including webhooks, pixels, and marketing consent. Third-party failures are not Alocis failures.
8. Buyers and legal notices
You will publish, at checkout and wherever the law requires, your own terms, privacy policy, refund policy, and cookie notices. Alocis only displays the URLs you provide. You are the controller of buyer data and Alocis is the processor, as described in the Privacy Policy and Annex A to these Terms.
9. Availability
Except for a written enterprise agreement with a service level, the Service is provided “as is” and “as available”, without any warranty of uptime, commercial result, or error-free operation. Maintenance, network failure, a payment provider, or events outside our control may interrupt the Service. Commercially reasonable security efforts are not a guarantee against data loss or attack.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALOCIS IS NOT LIABLE FOR LOST PROFITS, REVENUE, DATA, FUNDS, CUSTOMERS, OR BUSINESS, OR FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY. ALOCIS’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (I) THE AMOUNTS YOU ACTUALLY PAID ALOCIS IN THE 12 MONTHS BEFORE THE EVENT AND (II) US$ 100. THIS CAP DOES NOT APPLY WHERE MANDATORY LAW FORBIDS IT, INCLUDING IN CASES OF WILLFUL MISCONDUCT.
11. Indemnity
You will defend and indemnify Alocis and its members, managers, employees, and contractors against claims, losses, fines, fees, and judgments arising from your use of the Service, what you sell, a breach of these Terms or of third-party rights, your integration setup, disputes with buyers or payment providers, and failure to comply with law that applies to your activity.
12. Term and termination
These Terms last while an account or an outstanding obligation exists. You may inactivate the workspace in the dashboard or request closure by email to [email protected]. Inactivation suspends use of that account; after 60 days, the workspace data is deleted, except for legal retention. Reactivation before that date depends on Alocis. We may terminate for convenience on 30 days’ notice, or immediately for a material breach, risk, a government order, or non-payment. Access ends when the account ends. Data handling follows the Privacy Policy. You remain responsible for transactions started before termination. The clauses on property, limitation, indemnity, governing law, and venue survive.
13. Changes
We may change these Terms by posting a new version on this page or by notice in the dashboard or by email. Use after the effective date is acceptance. If a change is material and the law lets you refuse it, your remedy is to close the account before the effective date. The version in force is the one published on the site.
14. Law, venue, and waivers
These Terms are governed by the laws of the State of Delaware, United States, without conflict-of-law rules that would point elsewhere. State and federal courts located in Delaware have exclusive jurisdiction, and you consent to that venue. To the extent permitted, you waive jury trial and any class or representative action. Nothing in this clause removes a mandatory right that the law of your country does not allow you to waive, including non-waivable GDPR rights if they apply to you as an individual in the European Union.
If a clause is invalid, the rest remains. Failure to enforce a breach is not a waiver. These Terms (including Annex A), the Privacy Policy, and a written order that incorporates them are the entire agreement and replace prior understandings. The English version may be used for interpretation if translations conflict, to the extent permitted.
15. Annex A — Data Processing (DPA)
This Annex forms part of the Terms of Use between the Customer (“Controller”, for Buyer data) and Alocis, LLC (“Processor”). It applies to personal data Alocis processes on the Customer’s behalf while providing the Service (checkout, buyer portal, configured webhooks, notifications, etc.). When Alocis is the controller (dashboard account data), the Privacy Policy applies instead of this Annex.
A.1 Subject matter and duration
The Processor will process personal data only to provide the contracted Service, for the life of the account and under the Controller’s documented instructions (dashboard settings, API use, and these Terms), except where law requires different processing.
A.2 Nature and purpose
Hosting, transmission, storage, backup, payment orchestration, event delivery, fraud prevention, and technical support related to the Service.
A.3 Data types and subjects
Buyer and transaction data the Controller or Buyers enter or generate in the Service (identity, contact, payment, technical logs), as described in the Privacy Policy.
A.4 Processor obligations
- process data only on lawful Controller instructions and this Annex;
- ensure confidentiality of persons authorized to process data;
- implement commercially reasonable security measures;
- reasonably assist the Controller with data-subject requests (via [email protected]);
- notify the Controller without undue delay when aware of a security incident relevant to data processed on its behalf;
- on termination, delete or return data per the Privacy Policy and legal retention, except what must be kept by law.
A.5 Sub-processors
The Controller authorizes sub-processors (infrastructure, identity, messaging, and categories listed in the Privacy Policy). The Processor remains responsible to the Controller for sub-processor compliance. We may update sub-processors; material changes will be communicated via Policy updates or dashboard notice when the law requires.
A.6 Controller obligations
The Controller warrants a lawful basis, informs Buyers, publishes checkout notices, obtains required consents (including marketing cookies), and gives lawful instructions. The Controller will not instruct unlawful processing.
A.7 International transfers
When needed, we will use standard contractual clauses or another recognized mechanism (GDPR, LGPD) for transfers outside the data subject’s country of origin.
A.8 Audit
On reasonable request and under confidentiality, the Processor may provide information on security and processing (questionnaires, summary of practices). On-site or source-code audits are not required except where mandatory law or a written enterprise agreement says so.
